1. INTRODUCTION Welcome to Brainiac Healthcare Private Limited (“Company”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, products, and services. By placing an order or using our services, you agree to be bound by these Terms. If you do not agree to all the Terms and Conditions, then you may not access the website or use any services.

2. NO MEDICAL ADVICE The content provided on this website, including text, graphics, images, and other material, is for informational purposes only. It is not intended to be a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any questions you may have regarding a medical condition or the use of specific medical devices.

3. PAYMENT TERMS

• Payment Methods: We accept payments via Credit/Debit Card, UPI, Wire Transfer, Bank Transfer, Purchase Order (PO), Cheque, and EMI.

• Accepted Currencies: Payments are accepted in USD ($) and INR (₹) only.

• Standard Orders: We operate on a strict 100% payment-before-dispatch policy. No products will be shipped until the full invoice amount is cleared in our bank account.

• Bulk Orders: For bulk orders (>2 units), a 30% advance payment is required to confirm the order, accompanied by a formal Purchase Order (PO). The remaining 70% balance must be paid prior to dispatch.

• Cancellation & Non-Refundable Deposit: If a customer cancels a bulk order after the 30% advance payment has been made, Brainiac Healthcare Private Limited will not refund the deposited amount. This deposit is retained to cover administrative costs, inventory allocation, and procurement expenses.
  
  

4. SHIPPING AND DELIVERY

• Processing Time: Orders are typically processed within 2–3 working days following the receipt of cleared payment.

• Delivery Estimates: Estimated delivery dates are provided as a courtesy and are not guaranteed. We are not liable for delays caused by carrier logistics or external factors.

• International Shipping: For international orders, the Customer (Importer of Record) is solely responsible for all customs duties, import taxes, and regulatory fees imposed by the destination country. We are not responsible for delays caused by customs inspections or clearance procedures.

• Regulatory Compliance (UDI): All products are tracked via Unique Device Identification (UDI). In the event of shipping damage or loss, serial number tracking must be reported immediately to maintain regulatory chain-of-custody records.
  
  

5. INSPECTION AND DAMAGE CLAIMS

• Inspection Window: Upon delivery, the customer has 48 hours to inspect the shipment for visible damage, shortages, or discrepancies.

• Reporting Protocol: Claims for shipping damage must be filed with the carrier immediately. You must also notify Brainiac Healthcare Private Limited within this 48-hour window. Failure to report within this timeframe constitutes acceptance of the product “as is.”

• Installation: Unless explicitly stated in the purchase agreement, delivery fees do not include professional installation, calibration, or on-site clinical training.
  
  

6. RETURNS AND REFUND POLICY

• Hygiene & Safety: Due to the medical nature of our products and the inclusion of disposable components (such as the Airway Adapter), the device become strictly non-returnable once it has been used, installed or activated.

• Manufacturing Defects: Returns are only accepted in the event of a proven manufacturing defect. All defect claims are subject to verification by our technical team.

• Non-Returnable Items: Single-use items, consumables, or devices that have been used on patients cannot be returned under any circumstances due to biohazard regulations.
  
  

7. WARRANTY The warranty on the product and its accessories is as noted on the company website or the specific quotation, effective from the date of Invoice. This warranty covers defects in material and workmanship but does not cover damage resulting from misuse, unauthorized repair, or accidents.

8. LIMITATION OF LIABILITY To the maximum extent permitted by law, Brainiac Healthcare Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the products.

9. FORCE MAJEURE Brainiac Healthcare Private Limited shall not be liable for any delay or failure to perform its obligations due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, or shipping strikes.

10. GOVERNING LAW AND JURISDICTION These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes, controversies, or claims arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat.
