Welcome to Brainiac Healthcare. These Terms & Conditions govern your use of www.brainiachealthcare.com (the “Website”) and your purchase of RespiCOz® and related products from Brainiac Healthcare Private Limited (“Brainiac Healthcare”, “we”, “us”, “our”). By accessing this Website or placing an order, you agree to these terms. If you do not agree, please do not use the Website.
1. About us and our products
Brainiac Healthcare Private Limited is a medical device company registered in India, with its registered office at B24, Vrundavan Park, Behind Navrang School, Odhav, Ahmedabad, Gujarat – 382415.
RespiCOz® is a CDSCO-licensed medical device intended for use by qualified healthcare professionals and institutions. It must be used strictly in accordance with its Instructions for Use (IFU) and product labelling. RespiCOz is a monitoring aid and does not replace clinical judgement, established monitoring standards, or the responsibility of the treating clinician. Nothing on this Website constitutes medical advice.
2. Eligibility
The Website and our products are intended for healthcare professionals, hospitals, clinics, and institutional buyers within India. By placing an order, you confirm that you are authorised to purchase medical devices for professional or institutional use and that the information you provide is accurate.
3. Orders, pricing and payment
- All orders are subject to acceptance and to product availability. We may decline or cancel an order at our discretion, including where pricing or product information contains an error.
- Prices are listed in Indian Rupees (INR) and are exclusive of, or inclusive of, GST as indicated on the invoice. Prices are subject to change without notice, but the price confirmed on your invoice applies to your order.
- Payments are processed through our third-party payment gateway – Razorpay. Brainiac Healthcare does not store your card or banking credentials; these are handled by the payment processor.
- A valid GST tax invoice is issued for every order.
4. Shipping and delivery
- We currently ship within India.
- Orders are typically dispatched within 10–15 working days from the date of order confirmation and receipt of full payment, unless a specific delivery date is agreed at the time of order.
- We use trusted domestic courier services or India Post. Delivery timelines are estimates and are subject to courier or postal norms and production batch schedules. We will share an estimated delivery date on order confirmation.
- Risk in the goods passes to you on delivery; title passes on receipt of full payment.
5. Order cancellation (before dispatch)
You may request cancellation of an order before it has been dispatched by contacting us at [email protected] or on WhatsApp/phone at +91 95100 20800. If the device has already been dispatched, the order cannot be cancelled, but it is covered by the 15-Day Clinical Satisfaction Guarantee below once delivered. Approved pre-dispatch cancellations are refunded to the original payment method.
6. Returns, refunds and the 15-Day Clinical Satisfaction Guarantee
Post-delivery returns are governed by our 15-Day Clinical Satisfaction Guarantee, set out in full on our Return Policy page. In summary:
- Your first RespiCOz unit, purchased directly by direct full payment, may be returned within 15 days of delivery for a full refund of the device invoice value if it is not right for your practice.
- The refund is initiated after the returned device is received at our facility and passes a damage-and-functionality inspection, and is processed within 3–4 working days of that approval.
- Devices purchased on EMI, credit-card instalments, or a loan are not covered by the guarantee.
- Exclusions, conditions, and the full process are set out on the Return Policy page, which forms part of these Terms.
In case of a device received damaged or defective, please report it to our Customer Service team within a reasonable time of receipt. Defects covered by the manufacturer’s warranty are handled under the warranty (Section 7).
7. Warranty
RespiCOz carries a manufacturer’s warranty of 1 year warranty and 2-year replacement warranty against defects in materials and workmanship, subject to correct use in accordance with the IFU. The warranty is separate from the 15-Day Clinical Satisfaction Guarantee: the guarantee is a short-term right to return the device if it does not suit your practice; the warranty is a longer-term commitment to repair or replace a device that develops a defect.
8. Intellectual property
All content on this Website — including the RespiCOz® and Brainiac Healthcare names and logos, text, graphics, images, and software — is owned by or licensed to Brainiac Healthcare Private Limited and is protected by applicable intellectual property laws. “RespiCOz” is a registered trademark. You may not copy, reproduce, republish, or exploit any part of the Website without our prior written permission.
9. Acceptable use
You agree not to use the Website in any way that is unlawful, or that could damage, disable, or impair the Website or interfere with others’ use of it. You may not attempt to gain unauthorised access to any part of the Website, its servers, or connected systems. Where the Website permits you to submit content (for example, blog comments), you are responsible for that content and grant us a non-exclusive licence to use it in connection with the Website; we may remove any content we consider inappropriate.
10. Third-party links
The Website may contain links to third-party websites, apps, or services (for example, the Google Play Store or our payment gateway). We are not responsible for the content or practices of those third parties, and their inclusion does not imply endorsement. Please review their own terms and policies.
11. Disclaimers and limitation of liability
- The Website and its content are provided on an “as is” and “as available” basis. To the extent permitted by law, we make no warranties regarding the Website’s accuracy, availability, or fitness for a particular purpose.
- Clinical use of RespiCOz is subject to the IFU and the professional judgement of the treating clinician. We are not liable for use of the device outside its intended use or labelling.
- To the maximum extent permitted by applicable law, Brainiac Healthcare’s total liability arising out of or in connection with a purchase shall not exceed the invoice value of the product giving rise to the claim. We shall not be liable for indirect, incidental, or consequential losses.
- Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable Indian law.
12. Indemnity
You agree to indemnify and hold Brainiac Healthcare Private Limited harmless against claims, losses, or expenses arising from your breach of these Terms or your misuse of the Website or products.
13. Governing law and jurisdiction
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms or a purchase shall be subject to the exclusive jurisdiction of the courts at Ahmedabad, Gujarat.
14. Changes to these Terms
We may update these Terms from time to time. The version in effect on your date of purchase applies to your order. Continued use of the Website after changes are posted constitutes acceptance of the updated Terms.
